    Terms of Use Agreement - Information Providers

    Read This Terms of Use Agreement Before Accessing Ethent's Web site.

    Ethent uses certain information it receives under this agreement to authehenticate information as requested by some of its Users. See Terms of Use and Terms of Use - Registered Users for the terms under which authentication services are provided to Ethnet users.

    Effective Date: This Terms of Use Agreement was last updated on April 28, 2006.

    Ethent provides certain services through which individuals, corporations and other organizations ("Information Providers") can upload certain information to Ethent's Web site so that the information can be available for authentication requests.
    The information received by Ethent varies by product and is discussed below in
    "B. PRODUCTS AND SERVICES - SPECIFIC AGREEMENTS" for each of these products:

    This Terms of Use Agreement sets forth the standards of use of the Service. By using the ethent.com Web site you (the "User" and "Information Provider") agree to the terms and conditions of this Terms of Use Agreement. If you do not agree to the terms and conditions of this agreement, you should immediately cease all usage of this Web site. We reserve the right, at any time, to modify, alter, or update the terms and conditions of this agreement without prior notice. Modifications shall become effective immediately upon being posted at the ethent.com Web site. Your continued use of the Service after amendments are posted constitutes an acknowledgement and acceptance of the Agreement and its modifications. Except as provided in this paragraph, this Agreement may not be amended.

    A. GENERAL TERMS APPLICABLE TO ALL PRODUCTS AND SERVICES

    1. Description of Service

    Ethent is providing certain systems so that you can upload certain information to Ethent's Web site. Ethent is also providing you with information about fraud, fraud prevention, security, authentication and other related matters as well as the opportunity to authenticate certain information.

    You must (1) provide all equipment necessary for your own Internet connection, including computer and modem, and (2) provide for your access to the Internet, and (3) pay any fees related with such connection.

    2. Disclaimer of Warranties.

    The site is provided by Ethent on an "as is" and on an "as available" basis. To the fullest extent permitted by applicable law, Ethent makes no representations or warranties of any kind, express or implied, regarding the use or the results of this Web site in terms of its correctness, accuracy, reliability, or otherwise. Ethent shall have no liability for any interruptions in the use of this Web site. Ethent disclaims all warranties with regard to the information provided, including the implied warranties of merchantability and fitness for a particular purpose, and non-infringement.

    3. Limitation of Liability

    ETHENT SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, AND IN PARTICULAR ETHENT SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOSS OF REVENUE, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THIS WEB SITE OR THE INFORMATION CONTAINED IN IT, WHETHER SUCH DAMAGES ARISE IN CONTRACT, NEGLIGENCE, TORT, UNDER STATUTE, IN EQUITY, AT LAW, OR OTHERWISE, EVEN IF ETHENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    4. Indemnification

    You agree to indemnify and hold Ethent, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees and costs, made by any third party due to or arising out of your use of Ethent's Web site, the violation of this Agreement, or infringement by you, or other user of Ethent's Web site using your computer, of any intellectual property or any other right of any person or entity.

    5. Modifications and Interruption to Service

    Ethent reserves the right to modify or discontinue the information provided by Ethent's Web site with or without notice to you. Ethent shall not be liable to you or any third party should Ethent exercise its right to modify or discontinue the information provided by Ethent's Web site. You acknowledge and accept that Ethent does not guarantee continuous, uninterrupted or secure access to our Web site and operation of our Web site may be interfered with or adversely affected by numerous factors or circumstances outside of our control.

    6. Third-Party Sites

    Our Web site may include links to other Internet sites that are owned and operated by online merchants and other third parties. You acknowledge that we are not responsible for the availability of, or the content located on or through, any third-party site. You should contact the site administrator or webmaster for those third-party sites if you have any concerns regarding such links or the content located on such sites. Your use of those third-party sites is subject to the terms of use and privacy policies of each site, and we are not responsible therein. We encourage you to review said privacy policies of third-parties' sites.

    7. Disclaimer Regarding Accuracy of Vendor Information

    Product specifications and other information have either been provided by the Vendors or collected from publicly available sources. While Ethent makes every effort to ensure that the information on this Web site is accurate, we can make no representations or warranties as to the accuracy or reliability of any information provided on this Web site.

    Ethent makes no warranties or representations whatsoever with regard to any product provided or offered by any Vendor, and you acknowledge that any reliance on representations and warranties provided by any Vendor shall be at your own risk.

    8. Governing Jurisdiction of the Courts

    The laws of the State of Nevada will govern this Terms of Use, without giving effect to any choice of law rules. We make no representation that our Web site or other services are appropriate, legal or available for use in other locations. Accordingly, if you choose to access our site you agree to do so subject to the internal laws of the State of Nevada.

    9. Compliance with Laws

    You assume all knowledge of applicable law and are responsible for compliance with any such laws. You may not use the information from Ethent's Web site in any way that violates applicable state, federal, or international laws, regulations or other government requirements. You further agree not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation.

    10. Copyright and Trademark Information

    All content included or available on this site, including site design, text, graphics, interfaces, and the selection and arrangements thereof is ©2006 ethent.com, will all rights reserved, or is the property of Ethent and/or third parties protected by intellectual property rights. Any use of materials on the Web site, including reproduction for purposes other than those noted above, modification, distribution, or replication, any form of data extraction or data mining, or other commercial exploitation of any kind, without prior written permission of an authorized officer of Ethent is strictly prohibited. Members agree that they will not use any robot, spider, or other automatic device, or manual process to monitor or copy our web pages or the content contained therein without prior written permission of an authorized officer of Ethent.

    Ethent's trademarks may not be used in connection with any product or service that is not provided by Ethent, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Ethent.

    11. Other Terms

    If any provision of this Terms of Use Agreement shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially-enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. You agree that this Terms of Use Agreement and any other agreements referenced herein may be assigned by Ethent, in our sole discretion, to a third party in the event of a merger or acquisition. This Terms of Use Agreement shall apply in addition to, and shall not be superseded by, any other written agreement between us in relation to you. You agree that by accepting this Terms of Use Agreement, you are consenting to the use and disclosure of your personally identifiable information and other practices described in our Privacy Statement.

    B. PRODUCTS AND SERVICES - SPECIFIC AGREEMENTS

    The terms in this section apply in addition to those in A above.

    Additional User, Web site owner and Ethent Terms.

    1. 1WFThent

    This product uses bank check information supplied by the User to authenticate information printed on a bank check which contains the User's bank and account numbers.

    Ethent will provide User with web-based forms so that User can send the following bank check information to Ethent: bank, account and check numbers; dollar amount and payee. For each check number and its related bank/account number Ethent will maintain a record of the check number received from the web-based form and one-way fingerprints of the dollar amount and payee received from the web-based form. No record of the dollar amount and payee contained on the web-based form will be maintained by Ethent.

    Upon receipt of a request for authentication of a particular bank check drawn on User's bank/account number Ethent will compute one-way fingerprints for the dollar amount and payee information provided to Ethent and then compare the computed one-way fingerprints to the one-way fingerprints contained in Ethent's files for the bank/account number. Ethent will then indicate the outcome of the comparison.

    2. UNThent

    This product uses bank check information supplied by the User to authenticate information printed on a bank check which contains the User's bank and account numbers.

    Ethent will provide User with web-based forms so that User can send information to Ethent and Ethent will use each bank check's unique identifying value to calculate a UNumber for each bank check. Each UNumber will be provided to User or User's commercial printer so that the UNumber can be printed on the appropriate bank check.

    Upon receipt of a request for authentication of a particular bank check Ethent will use the bank check's unique identifying value to calculate a UNumber for that bank check and then compare the calculated UNumber to the UNumber printed on the bank check. Ethent will then indicate the outcome of the comparison.

    3. 2FThent

    This product produces one-time passwords and password authentication that can be used in conjunction with "account sign in" systems at Web sites.

    Ethent will provide Users with electronic one-time password cards that will contain a number of one-time passwords. At a time determined by the Web site owner Ethent will provide a User with a web-based form and request that the User enter an identified one-time password from the User's one-time password card. Ethent will authenticate the entered one-time password and then provide the authentication results to the Web site owner.

    4. WBWBChecks

    This product provides descriptive and security information about a User's bank checks.

    Ethent will provide the User's Bank with a web-based form that can be used to request information from Ethent and Ethent will provide the User's Bank with descriptive and security information about User's bank checks.

    5. UNTickets

    This product uses ticket information supplied by the User to authenticate information printed on a ticket which contains the User's event information.

    Ethent will provide User with web-based forms so that User can send information to Ethent and Ethent will use each ticket's unique identifying value to calculate a UNumber for each ticket. Each UNumber will be provided to User or User's commercial printer so that the UNumber can be printed on the appropriate ticket.

    Upon receipt of a request for authentication of a particular ticket Ethent will use the ticket's unique identifying value to calculate a UNumber for that ticket and then compare the calculated UNumber to the UNumber printed on the ticket. Ethent will then indicate the outcome of the comparison.
